Terms of Service

These terms are the agreement between you and Circle. By creating an account or using the app, you accept them. If you do not accept them, do not use Circle.
Passages in square brackets are values that must be confirmed before these terms are published.
1. Who you are agreeing with
Circle is operated by [TO CONFIRM: registered legal entity name and address], referred to below as “we” and “us”. “Circle” means the Circle mobile apps, this website, and the service behind them.
2. Who can use Circle
You must be at least 17 years old. You must not be barred from using the service under the laws that apply to you, and you must not have been previously removed from Circle.
You need an account to use most of Circle. You are responsible for what happens under your account, so keep your password to yourself and tell us at support@thecircleapp.us if you think someone else has access to it.
Give us accurate information when you sign up, and keep it accurate. Do not impersonate anyone, and do not create an account on someone else’s behalf without their permission.
3. Your content
You keep ownership of everything you post: your profile, your events, your messages, your photos and videos.
By posting content to Circle you give us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, and display it, for the sole purpose of operating and providing Circle. That licence ends when you delete the content or your account, except for copies another person has already received and copies we must keep for a legal reason.
You confirm that you have the right to post what you post, and that it does not infringe anyone else’s rights.
4. What you may not do
Do not use Circle to:
- harass, threaten, bully, stalk, or intimidate anyone
- post content that is unlawful, hateful, or that incites violence
- post sexual content involving minors, or any content that sexualises a minor
- post someone else’s private information, including their location, without their permission
- impersonate another person or organisation
- advertise, solicit, spam, or run a scheme for financial gain without our written permission
- scrape, crawl, or bulk-collect data about Circle’s users
- reverse engineer, decompile, or interfere with the security of the service
- use automated means to create accounts, send messages, or join events
- attempt to gain access to another account or to any part of the service you are not authorised to reach
We may remove content and suspend or terminate accounts for breaking these rules.
5. Content moderation
We screen images you upload and public text you post using automated tools, and we review content that is reported to us. Direct messages and Circle chat are not automatically screened, but they can be reported, and a copy of reported content is stored so a moderator can act on it.
Automated screening is imperfect in both directions. We do not promise to find everything, and we may occasionally remove something we should not have. If we act on your content and you think we were wrong, email support@thecircleapp.us.
6. Events, meetings, and safety
Circle helps people arrange to meet. We do not verify the identity of users, we do not run background checks, and we are not a party to any arrangement you make. Anything that happens when you meet someone is between you and them.
Use ordinary caution: meet in public first, tell someone where you are going, and leave any situation that feels wrong. If someone is in immediate danger, contact your local emergency services. We cannot respond to emergencies.
7. Other people’s content
Circle displays content created by other users. We do not endorse it and we are not responsible for it. If something breaks these rules, report it in the app.
8. Location features
Circle uses your location to show you what is nearby, and shows the resulting place name on your profile to other users. How that works, and what is stored, is set out in the privacy policy. You can turn location off in your device settings, and parts of Circle will stop working when you do.
9. Our intellectual property
The Circle name, logo, apps, and website are ours. These terms do not give you any right to use them beyond using the service as intended.
10. Changes to the service
Circle is under active development. We may add, change, or remove features, and we may stop offering the service. If we discontinue Circle we will give reasonable notice where we can, so you have time to retrieve your content.
11. Ending your account
You can delete your account at any time from Settings, or by following these instructions.
We may suspend or terminate your account if you break these terms, if we are required to by law, or if continuing to provide the service to you would create risk for us or for other users. Where it is reasonable to do so, we will tell you why.
12. Disclaimers
Circle is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Circle will be uninterrupted, error free, or secure, or that any content is accurate.
Some jurisdictions do not allow these exclusions, in which case they do not apply to you.
13. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of Circle.
Our total liability for any claim relating to Circle is limited to [TO CONFIRM: the greater of the amount you paid us in the twelve months before the claim, or a fixed sum such as USD 100].
Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
14. Indemnity
You agree to indemnify us against claims, losses, and reasonable legal costs arising from your content, your use of Circle, or your breach of these terms.
15. Governing law and disputes
These terms are governed by the laws of [TO CONFIRM: governing jurisdiction], without regard to conflict of law rules. Disputes will be brought in the courts of [TO CONFIRM: venue].
[TO CONFIRM: whether an arbitration clause and class action waiver are wanted. If Circle ships in the United States this is usually decided at this point, and it needs a lawyer.]
16. Changes to these terms
We may update these terms. If a change is material we will update the date at the top and notify you in the app before it takes effect. Continuing to use Circle after that means you accept the new terms.
17. General
If any part of these terms is unenforceable, the rest still applies. Our not enforcing a term is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours as part of a merger or sale of the business. These terms, together with the privacy policy, are the entire agreement between us about Circle.
